These Terms & Conditions (“Terms”) govern your access to and use of the Odrion.ai website, products, platforms and services (collectively, the “Services”).
By accessing our website or using our Services, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree with these Terms, you should not use our website or Services.
For any questions regarding these Terms, you may contact us at info@odrion.ai.
About Odrion
Odrion.ai (“Odrion”, “we”, “us” or “our”) provides technology, artificial intelligence and related products and services to businesses and organizations.
Certain products or services may be subject to additional agreements, service terms, order forms, statements of work, data processing agreements or other contractual arrangements entered into between Odrion and its customers.
Where such an agreement exists and there is a conflict between that agreement and these Terms, the terms of the specific agreement will prevail in relation to the relevant product or service.
Use of our website
You may use our website for lawful purposes and in accordance with these Terms.
You must not use our website or Services in any manner that violates applicable law, attempts to gain unauthorized access to systems or accounts, interferes with the security or operation of our Services, introduces malicious software or code, misrepresents your identity or affiliation with any person or organization, or uses our website or Services for fraudulent, abusive, unlawful or harmful purposes.
We reserve the right to restrict or suspend access where we reasonably believe that these Terms have been violated or that access may create a security, legal or operational risk.
Our products and services
Information presented on our website regarding our products, services, capabilities, technologies or solutions is provided for general informational purposes.
Specific features, functionality, availability, pricing, implementation requirements and service levels may vary and may be governed by a separate agreement between Odrion and the relevant customer.
We may modify, update, improve, replace or discontinue website features or elements of our Services from time to time, subject to any obligations contained in an applicable customer agreement.
AI-powered services
Certain Odrion products and services use artificial intelligence, machine learning, automated systems or related technologies.
AI-generated or automated outputs may depend on the information, instructions, prompts, files or other content provided to the relevant service. Such outputs may not always be complete, accurate or suitable for every purpose.
Users and customers are responsible for reviewing outputs where appropriate and for determining whether they are suitable for their intended use, particularly where decisions may have legal, financial, operational, safety or other significant consequences.
Unless otherwise agreed in writing, users must not submit information or content to our Services unless they have the necessary rights, permissions and lawful basis to do so.
Unless otherwise agreed with a customer, Odrion does not intend to use customer-provided confidential data or personal data for the training of public AI models.
Additional terms concerning data processing, confidentiality, security, intellectual property or use of AI technologies may be included in the relevant customer agreement or Data Processing Agreement.
User accounts
Certain Services may require you to create or use an account.
Where an account is provided, you are responsible for providing accurate and up-to-date information, maintaining the confidentiality of your account credentials, preventing unauthorized access to your account and promptly informing us if you become aware of suspected unauthorized access or a security incident relating to your account.
You are responsible for activities carried out through your account to the extent permitted by applicable law.
We may suspend or restrict an account where reasonably necessary to protect our systems, users, customers or third parties, or where we reasonably believe that the account is being used in violation of applicable law, these Terms or an applicable customer agreement.
Customer and user content
Our Services may allow customers or users to submit prompts, queries, instructions, documents, files, data or other content (“User Content”).
You retain any rights that you have in your User Content.
By submitting User Content to our Services, you confirm that you have the necessary rights, permissions and lawful basis to provide and process such content through the Services.
You grant Odrion the rights necessary to host, process, transmit and otherwise use User Content solely to the extent required to provide, maintain, secure and support the relevant Services, subject to any applicable customer agreement.
You must not knowingly submit content that infringes intellectual property or other rights of third parties, violates applicable law, contains malicious software or code, is fraudulent or unlawfully obtained, or that you are not authorized to disclose or process.
The processing of personal data contained in User Content may also be governed by our Privacy Policy, a Data Processing Agreement or other applicable contractual terms.
Intellectual property
Unless otherwise stated, the website and its content, including but not limited to text, graphics, logos, trademarks, software, designs, interfaces, databases, documentation, images and other materials, are owned by or licensed to Odrion and are protected by applicable intellectual property laws.
Nothing in these Terms transfers ownership of Odrion’s intellectual property to you.
You may view and use publicly available website content for legitimate informational and business purposes. You may not reproduce, modify, distribute, sell, license, publish or commercially exploit our content without prior written permission from Odrion, except where permitted by applicable law.
Any rights relating to deliverables, software, configurations, implementations or other materials created as part of a customer engagement will be governed by the applicable customer agreement.
Third-party services and links
Our website or Services may contain links to, integrate with or rely on third-party websites, software, platforms, APIs, cloud services or other technologies.
Odrion does not control third-party services and is not responsible for their availability, content, security, terms, privacy practices or operation.
Your use of third-party services may be subject to separate terms and policies established by the relevant third party.
The inclusion of a link or integration does not necessarily imply endorsement of the relevant third party by Odrion.
Privacy and data protection
The processing of personal data in connection with our website and Services is described in our Privacy Policy.
Where Odrion processes personal data on behalf of a customer, such processing may additionally be governed by a Data Processing Agreement or other contractual arrangement.
Our use of cookies and similar technologies is described in our Cookie Policy.
Availability and security
We aim to maintain the availability, integrity and security of our website and Services. However, we do not guarantee that the website or Services will always be available, uninterrupted, error-free or free from security vulnerabilities.
Access may occasionally be suspended or restricted for maintenance, updates, security reasons, technical issues or circumstances outside our reasonable control.
We implement reasonable technical and organizational measures designed to protect our systems and information. Nevertheless, no internet-based service or electronic transmission can be guaranteed to be completely secure.
Disclaimer
To the extent permitted by applicable law, our website and publicly available website content are provided on an “as is” and “as available” basis.
General information provided through the website does not constitute legal, financial, accounting, regulatory or other professional advice unless expressly agreed otherwise in writing.
Odrion makes reasonable efforts to ensure that information published on the website is accurate and up to date but does not guarantee that all information will at all times be complete, accurate or current.
Specific warranties or commitments relating to paid products and services, where applicable, will be governed by the relevant customer agreement.
Limitation of liability
To the maximum extent permitted by applicable law, Odrion will not be liable for indirect, incidental, special or consequential losses arising solely from the use of, or inability to use, the publicly available website.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Liability relating to products or services provided under a separate customer agreement will be governed by the liability provisions contained in that agreement.
Changes to these Terms
We may update these Terms from time to time to reflect changes in our website, Services, technologies, business practices or legal requirements.
The updated Terms will be made available on our website with a revised “Last updated” date.
Where required by applicable law or contract, we may provide additional notice of material changes.
Your continued use of the website following the publication of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.
Governing law and jurisdiction
Where a separate customer agreement applies, the governing law and jurisdiction specified in that agreement will prevail for matters covered by that agreement.
